Affiliate Agreement

This Affiliate Agreement (the "Agreement") is entered into by and between Just Steven LLC. ("Company"), and the individual or entity identified below as the "Affiliate." This Agreement sets forth the terms and conditions of the Company Affiliate Program (the "Program").

1. Appointment as Affiliate
The Company appoints the Affiliate to promote the Company’s products as part of the Program. The Affiliate agrees to market and promote Company products in a positive and professional manner, as specified in this Agreement.

2. Affiliate Responsibilities
The Affiliate agrees to:
a. Promote the Company’s products, ensuring all content, whether provided, approved, or original, maintains the brand’s image of strength, reliability, and integrity.
b. Follow all applicable laws, including FTC guidelines for disclosures on social media.
c. Refrain from engaging in any activities that may reflect poorly on the brand.
d. Avoid misleading or deceptive marketing practices.
e. Maintain accurate information in their account and notify the Company promptly of any changes.

3. Compensation
Affiliates earn a commission on sales generated through their unique referral code. The specifics of the commission rate, payment schedule, and other details will be outlined in a separate compensation schedule provided by the Company. Payments are made monthly, provided the Affiliate meets the minimum threshold for commission payouts, as determined by the Company.

4. Terms of Promotion
The Affiliate must use their unique referral link or code in all promotions. They are encouraged to share the link in various formats, including social media profiles, blog posts, and other digital content, provided all posts comply with applicable platform terms.

5. Intellectual Property
The Company grants the Affiliate a limited, non-exclusive, revocable license to use Company trademarks, logos, and approved materials for the sole purpose of promoting the Company’s products. All intellectual property remains the exclusive property of the Company. The Affiliate agrees not to alter, modify, or create derivative works based on Company materials.

6. Confidentiality
The Affiliate agrees not to disclose any proprietary or confidential information about the Company, including sales data, affiliate structures, or other sensitive information shared as part of the Program. This obligation remains in effect indefinitely, even after termination of this Agreement.

7. Compliance and Termination
Either party may terminate this Agreement at any time, with or without cause, upon written notice. The Company reserves the right to suspend or terminate an Affiliate’s participation in the Program at its discretion, should the Affiliate engage in any fraudulent behavior or which may be deemed harmful to the brand, in the Company’s sole discretion. Upon termination, the Affiliate must cease all promotion of Company products and remove any Company-owned intellectual property from their platforms.

8. Limitation of Liability
The Company will not be liable for any indirect, special, or consequential damages, including loss of revenue, arising from the Affiliate's participation in the Program.

9. Relationship of the Parties
Nothing in this Agreement shall create any partnership, joint venture, agency, or employer-employee relationship between the Company and the Affiliate. The Affiliate shall act solely as an independent contractor in promoting Company products.

10. Governing Law
This Agreement will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

11. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings related to the Program.

12. Changes to the Terms

The Company may update these terms from time to time. Affiliate will be notified of any changes.

By signing below, the Affiliate agrees to abide by the terms and conditions outlined in this Agreement.
